These Terms of Service ('Terms') govern your access to and use of the Lucéon practice management platform ('Service'). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Service.
1. Acceptance of Terms
By creating an account, accessing, or using Lucéon in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Lucéon.
2. Description of Service
Lucéon is a cloud-based practice management platform designed for optical professionals. The Service provides tools for patient management, clinical workflows, inventory management, appointment scheduling, billing, and related functions.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.
3. User Accounts and Registration
To use most features of our Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breach

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your practice management needs in accordance with these Terms.
You retain ownership of the data you input into the Service. By using the Service, you grant us a limited license to process, store, and display your data solely to provide and improve our services to you.
7. Payment and Billing
Subscription Fees
Access to certain features of the Service requires a paid subscription. You agree to pay all applicable fees as described in your selected plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.
Billing Information
You must provide current, complete, and accurate billing information. You authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend or terminate your access to paid features.
Refunds
Refunds are provided at our discretion on a case-by-case basis. Please contact our support team if you believe you are entitled to a refund.
8. Service Availability and Support
While we strive to provide reliable and uninterrupted service, we do not guarantee that the Service will be available at all times or free from errors. We may perform scheduled maintenance, updates, or experience unplanned downtime. We are not liable for any interruption of service.
9. Termination
You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to access the Service will immediately cease.
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion, with or without notice.
Upon termination, you will lose access to your account and data. We may retain certain data as required by law or for legitimate business purposes. You are responsible for exporting your data before termination.

The Service is provided 'as is' and 'as available' without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Lucéon and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Lucéon, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy. You acknowledge that you are responsible for compliance with applicable data protection laws regarding the collection, use, and storage of patient and client information. We provide tools to help you meet these obligations, but you remain the data controller for information you input into the system.
14. Modifications to Terms and Service
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Lucéon operates, without regard to conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of that jurisdiction.
16. Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Service, both parties agree to first attempt to resolve the dispute informally by contacting each other. If the dispute cannot be resolved within 30 days, either party may pursue formal legal action.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published by us, constitute the entire agreement between you and Lucéon regarding the Service and supersede all prior agreements and understandings.
